These Terms of Service ("Terms") are a legally binding agreement between you and OuterEdge Solutions, LLC ("OuterEdge," "we," "us," or "our"). By accessing or using our website, applications, and related services (collectively, the "Platform"), you agree to these Terms. If you do not agree, do not use the Platform.

• You are responsible for ensuring your use complies with all laws applicable to you

OuterEdge provides AI-powered consulting, strategic advisory services, and technology solutions to help entrepreneurs and organizations build, grow, and transform their businesses. Our services include:

• Strategic consulting and advisory services
• AI implementation and integration support
• Business development and growth strategies
• Technology assessment and recommendations
• Custom solution development

3. Account Registration

To access certain features of our Platform, you may need to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access or use
• Be responsible for all activities under your account

4. Acceptable Use

You will not (and will not allow others to):

• Violate any applicable laws or regulations
• Infringe on intellectual property, privacy, or publicity rights
• Transmit malicious code, viruses, or harmful content
• Upload malware or attempt to bypass security measures
• Engage in unauthorized data collection or mining
• Scrape, crawl, or harvest content without written consent
• Interfere with or disrupt the Platform's operation or degrade performance
• Attempt to gain unauthorized access to any systems
• Reverse engineer our services (except where permitted by law)
• Generate deceptive, fraudulent, or unlawful content
• Upload confidential data you're not authorized to share
• Misrepresent your identity or affiliation
• Resell, share, or transfer your account
• Use the Platform for high-risk activities where failure could lead to death or injury

5. Intellectual Property & AI

5.1 Our Intellectual Property

The Platform, software, templates, educational materials, and other content we provide are owned by OuterEdge Solutions, LLC or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for your own business purposes.

5.2 Your Inputs

You retain ownership of content you submit. You grant OuterEdge Solutions, LLC a worldwide, non-exclusive, royalty-free license to host, process, adapt, and display your inputs solely to provide, maintain, protect, improve, and secure the Platform and to comply with law.

5.3 AI-Generated Outputs

Subject to these Terms and applicable law, you own the outputs generated for you from your inputs. However:

• Outputs may not be unique and may resemble content generated for others
• We make no promises that outputs are accurate, complete, non-infringing, or fit for any particular purpose
• You are solely responsible for reviewing, editing, validating, and using outputs
• You should obtain professional advice as needed

5.4 Model Training

We may use de-identified/aggregated usage analytics to improve the Platform. We will not use your non-public inputs or outputs to train models unless you opt in (where available) or agree separately in writing.

6. Professional Services & Advisory Disclaimer

The Platform (including consulting services, outputs, and advisory calls) provides informational content only and does not constitute legal, financial, tax, accounting, securities, investment, or other professional advice. You are responsible for your decisions and for seeking qualified professional advice as needed. OuterEdge Solutions, LLC is not registered as a broker-dealer, investment adviser, or finder. We do not provide investment advice, broker-dealer services, or securities placement services. You are responsible for compliance with all applicable securities laws and regulations.

7. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Platform will cease immediately. You may cancel your subscription or account at any time through your account settings or by contacting us.

8. DMCA & Copyright

We respect intellectual property rights. If you believe content on the Platform infringes your copyright, please notify us at support@outeredge.ai with:

• Description of the copyrighted work
• Location of the allegedly infringing material
• Your contact information
• A statement of good faith belief
• A statement of accuracy under penalty of perjury
• Your physical or electronic signature

9. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that the Platform will be uninterrupted, secure, or error-free.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUTEREDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, REGARDLESS OF THE CAUSE OF ACTION. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNTS YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless OuterEdge Solutions, LLC, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, violation of these Terms, or violation of any rights of another.

12. Export Compliance

You may not use or export the Platform in violation of U.S. export laws and regulations. You represent that you are not on any U.S. government list of prohibited or restricted parties.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to try to resolve disputes informally by contacting us at support@outeredge.ai. We'll try to resolve disputes informally for 30 days from the date you contact us.

13.2 Binding Arbitration

PLEASE READ CAREFULLY: For any dispute not resolved informally, you and OuterEdge Solutions, LLC agree to resolve it through binding arbitration in accordance with the American Arbitration Association's rules. Arbitration will be conducted in Michigan. Each party will bear its own costs. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

14. Governing Law

These Terms are governed by the laws of the State of Michigan and the United States, without regard to conflict of law principles. The exclusive jurisdiction for any disputes not subject to arbitration shall be the state and federal courts located in Michigan.

15. Severability & Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and OuterEdge Solutions, LLC regarding the Platform and supersede all prior agreements and understandings.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Platform after changes constitutes acceptance of the revised Terms.
